Service Policy

1Purpose

This Service Policy (“Policy”) establishes the terms, standards, and expectations governing the provision and use of services offered by SeekEdgar LLC (“SeekEdgar,” “we,” “us,” or “our”).

This Policy is intended to promote a secure, reliable, professional, and consistent experience for all customers and users of SeekEdgar's services.

By accessing or using any SeekEdgar service, platform, website, application, or related offering (collectively, the “Services”), you agree to comply with this Policy and any additional terms applicable to the particular Service you use.

2Scope of Services

SeekEdgar may provide technology, software, information, educational, professional, consulting, platform, or other services as described on its website, service agreements, order forms, subscription plans, or other applicable documentation.

The specific features and functionality available to a customer may depend on:

• the Service purchased or selected;

• the applicable subscription or service plan;

• the customer's account configuration;

• technical requirements;

• geographic availability; and

• any separate written agreement between SeekEdgar and the customer.

SeekEdgar reserves the right to modify, enhance, suspend, or discontinue features of the Services, subject to applicable contractual obligations.

3Customer Eligibility

To use the Services, you must:

• provide accurate and complete information when required;

• have the legal capacity to enter into an agreement;

• comply with applicable laws and regulations;

• comply with this Policy and applicable service terms; and

• maintain the security of your account credentials.

If you use the Services on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind that entity to the applicable terms.

4Account Registration and Security

Certain Services may require you to create an account.

You are responsible for:

• providing accurate registration information;

• maintaining current account information;

• protecting your username, password, authentication credentials, and access tokens;

• restricting unauthorized access to your account;

• promptly notifying SeekEdgar of suspected unauthorized access; and

• all activities conducted through your account, except to the extent caused by SeekEdgar's own failure to maintain required security controls.

You must not share account credentials with unauthorized persons where account sharing is prohibited by the applicable Service plan.

SeekEdgar may suspend or restrict an account where reasonably necessary to protect the Services, users, or SeekEdgar's systems.

5Acceptable Use

Customers and users must use the Services responsibly and lawfully.

You may not use the Services to:

• violate any applicable law or regulation;

• infringe or misappropriate another person’s intellectual property or other rights;

• engage in fraud, deception, impersonation, or unlawful activity;

• distribute malware, viruses, or other malicious code;

• interfere with or disrupt the operation of the Services;

• attempt to gain unauthorized access to systems, accounts, or data;

• circumvent security or access controls;

• conduct unauthorized penetration testing or security testing;

• abuse APIs, automated systems, or service infrastructure;

• scrape or collect information in violation of applicable law or the applicable Service terms;

• transmit content that is unlawful, threatening, defamatory, fraudulent, or otherwise prohibited;

• use the Services to harass, abuse, or harm another person; or

• use the Services in a manner that could reasonably damage SeekEdgar, its infrastructure, customers, or other users.

SeekEdgar may investigate suspected violations and take appropriate action.

6Customer Content

Where the Services allow you to upload, submit, transmit, store, or otherwise provide information or content (“Customer Content”), you retain ownership of your Customer Content except for rights expressly granted to SeekEdgar under applicable agreements.

You are responsible for ensuring that you have all necessary rights, permissions, and legal authority to provide Customer Content to SeekEdgar and to permit SeekEdgar to process it in connection with the Services.

You must not submit Customer Content that violates applicable law or the rights of another person.

SeekEdgar may process Customer Content as reasonably necessary to provide, maintain, secure, support, and improve the Services, subject to the applicable agreement and SeekEdgar's Privacy Policy.

7Intellectual Property

SeekEdgar and its licensors retain all rights, title, and interest in and to the Services, including, as applicable:

• software;

• websites and applications;

• platform technology;

• designs;

• interfaces;

• documentation;

• trademarks and logos;

• databases;

• proprietary processes; and

• other intellectual property.

Except as expressly permitted by applicable terms or a written agreement, you may not copy, modify, reproduce, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works from the Services.

Nothing in this Policy transfers ownership of SeekEdgar intellectual property to a customer or user.

8Third-Party Services

The Services may integrate with or depend on third-party products, platforms, applications, payment processors, hosting providers, communications services, or other technologies.

Third-party services may be subject to their own terms and privacy policies.

SeekEdgar is not responsible for the availability, functionality, security, or policies of third-party services that are outside SeekEdgar's reasonable control.

9Fees and Payment

Where Services require payment, customers agree to pay applicable fees in accordance with the pricing, subscription, order form, or other commercial terms provided by SeekEdgar.

Unless otherwise stated:

• fees are due according to the applicable billing schedule;

• customers are responsible for providing accurate billing information;

• applicable taxes and governmental charges may be added where required;

• payment obligations are not generally contingent upon a customer's internal use of the Services; and

• overdue amounts may result in suspension or limitation of Services, subject to applicable contractual requirements.

Any refund, cancellation, credit, or payment adjustment will be governed by the applicable order, subscription terms, or written agreement.

10Subscription Services

For subscription-based Services, the applicable subscription period, renewal terms, fees, cancellation rights, and other conditions will be disclosed during the ordering or subscription process or in a separate agreement.

Unless otherwise stated, subscriptions may automatically renew for additional periods unless cancelled in accordance with the applicable cancellation procedure.

SeekEdgar will provide any renewal or cancellation notices required by applicable law.

11Service Availability

SeekEdgar will use commercially reasonable efforts to maintain the availability and performance of the Services.

However, uninterrupted availability cannot be guaranteed.

Services may occasionally be unavailable or degraded because of:

• scheduled maintenance;

• emergency maintenance;

• system upgrades;

• security incidents;

• telecommunications or Internet failures;

• third-party service interruptions;

• natural disasters;

• governmental actions;

• force majeure events; or

• other circumstances outside SeekEdgar's reasonable control.

Where appropriate, SeekEdgar may provide advance notice of scheduled maintenance.

12Support

SeekEdgar may provide customer support according to the support level associated with the customer's Service or subscription plan.

Support may include:

• technical assistance;

• account assistance;

• troubleshooting;

• service guidance; and

• identification of known service issues.

Support response times and service levels may vary by plan or written agreement.

Unless expressly agreed otherwise, support does not guarantee resolution of every technical issue.

13Service Changes

SeekEdgar may update or modify the Services from time to time.

Changes may include:

• adding or removing features;

• improving functionality;

• modifying interfaces;

• updating technical requirements;

• implementing security improvements; and

• changing infrastructure or service providers.

Where a material change substantially affects a customer's contractual rights, SeekEdgar will provide notice or other remedies when required by the applicable agreement or law.

14Security

SeekEdgar maintains administrative, technical, and organizational safeguards designed to protect the Services and information processed through them.

Customers are also responsible for maintaining appropriate security practices, including:

• using strong and unique passwords;

• protecting authentication credentials;

• controlling access to user accounts;

• keeping systems and software reasonably secure;

• promptly reporting suspected security incidents; and

• following SeekEdgar's security instructions where applicable.

No Internet-based service can guarantee absolute security.

15Privacy

SeekEdgar's collection, use, disclosure, retention, and protection of personal information are governed by its Privacy Policy, as updated from time to time.

The Privacy Policy forms an important part of the overall terms governing the Services.

16Confidentiality

Where SeekEdgar and a customer have entered into a separate confidentiality or nondisclosure agreement, that agreement will govern confidential information exchanged between the parties.

Unless otherwise agreed, each party should take reasonable measures to protect confidential information received from the other party and use such information only for legitimate purposes associated with the relationship.

17Prohibited Conduct and Enforcement

SeekEdgar may investigate suspected violations of this Policy.

Depending on the circumstances, SeekEdgar may:

• issue a warning;

• request that prohibited activity stop;

• restrict functionality;

• temporarily suspend an account;

• terminate access to Services;

• remove prohibited content where appropriate;

• cooperate with law enforcement or regulatory authorities where legally required; or

• pursue other remedies available under applicable law or contract.

SeekEdgar will seek to apply enforcement measures reasonably and proportionately to the circumstances.

18Suspension and Termination

SeekEdgar may suspend or terminate access to Services where:

• a customer materially breaches applicable terms;

• fees remain unpaid;

• use of the Services creates a security or operational risk;

• the Services are being used unlawfully;

• continued use could expose SeekEdgar or others to significant legal or security risk; or

• suspension or termination is otherwise permitted under the applicable agreement.

Customers may terminate their Services according to the applicable subscription or service agreement.

Upon termination, rights to access the Services may cease immediately or at the end of the applicable service period, depending on the applicable terms.

19Effect of Termination

Following termination:

• access to the Services may be disabled;

• outstanding payment obligations may remain due;

• licenses and permissions granted to the customer may terminate;

• certain information may be retained where required or permitted by law; and

• provisions intended by their nature to survive termination will continue to apply.

Customers are responsible for retrieving Customer Content before termination when the applicable Service provides a reasonable means to do so.

20Disclaimers

To the maximum extent permitted by applicable law, the Services are provided subject to the applicable contractual terms and without guarantees that the Services will always be uninterrupted, error-free, or completely secure.

SeekEdgar does not guarantee that:

• the Services will meet every particular customer requirement;

• the Services will always be available;

• all errors will be corrected;

• information provided through the Services will always be complete or current; or

• the Services will be free from security vulnerabilities.

Nothing in this Policy excludes or limits rights or warranties that cannot lawfully be excluded or limited.

21Limitation of Liability

To the maximum extent permitted by applicable law, SeekEdgar will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Services, except to the extent such limitation is prohibited by law.

Any additional limitations of liability, exclusions, or damage caps will be governed by the applicable customer agreement, order form, subscription terms, or other contractual terms.

22Indemnification

To the extent provided in an applicable agreement and permitted by law, a customer may be responsible for claims, damages, liabilities, losses, and expenses arising from the customer's:

• violation of applicable terms;

• unlawful use of the Services;

• infringement of third-party rights; or

• Customer Content.

Any specific indemnification obligations will be governed by the applicable written agreement.

23Force Majeure

SeekEdgar will not be responsible for delay or failure to perform obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government actions, telecommunications failures, widespread Internet disruptions, power failures, epidemics, pandemics, or failures of third-party infrastructure.

24Policy Updates

SeekEdgar may update this Service Policy periodically.

When updates are made, SeekEdgar will revise the “Last Updated” date above. Material changes may be communicated through the Services, email, website notices, or other reasonable means where appropriate.

Continued use of the Services after an applicable effective date constitutes acceptance of the updated Policy to the extent permitted by law.

25Governing Terms

This Policy should be read together with any applicable:

• Terms of Service;

• Master Services Agreement;

• Order Form;

• Subscription Agreement;

• Privacy Policy;

• Acceptable Use Policy; and

• other written agreement between SeekEdgar and the customer.

If there is a conflict between this Policy and a separately executed written agreement, the separately executed agreement will control to the extent specified in that agreement.
